Tracifier INC – Property Photography GTA (“Seller”)
We acknowledge with thanks your order. We are prepared to accept this order subject to the following terms and conditions. Any order you send to us will be regarded solely as identifying the products and services being purchased and not as a document that adds to or modifies these terms and conditions. Any additional or different terms proposed in your order are rejected unless expressly accepted by us in writing. If any of the following terms are not acceptable to you, please notify us promptly. Otherwise, your order and our commencement of the services will be subject to these terms and conditions, to the extent permitted by applicable law.
Custom pricing and alternative conditions may be negotiated upon request but will apply only if agreed upon in writing by an authorized representative of Property Photography GTA.
These terms apply to all services, digital deliverables, technical information, and support (“Products”) offered by Property Photography GTA. An order becomes binding when accepted by Property Photography GTA, including through written confirmation, booking confirmation, or commencement of the services. Any additional or different terms proposed by the Buyer are not binding unless accepted in writing by Property Photography GTA.
Quoted prices reflect the rates applicable at the time of the quote or booking. Property Photography GTA reserves the right to adjust prices for future orders and may revise prices for existing orders where changes to the scope are agreed upon.
Unless otherwise specified on the invoice or agreed in writing, payment is due according to the payment terms stated on the invoice. Where no payment deadline is specified, payment is due upon receipt of the invoice.
Overdue balances may be subject to interest at 1.5% per month (18% per annum) or the maximum rate permitted by applicable law, whichever is lower.
Photos: Delivered within 24 hours of the scheduled session, except for Friday sessions, which are delivered on Monday.
Videos: Delivered within 48 hours of the scheduled session, except for Friday sessions, which are delivered on Monday unless otherwise specified in the project scope.
Delivery timelines may vary depending on the scope of the project, property conditions, technical issues, or other circumstances communicated to the Buyer.
Property Photography GTA, its team members, videographers, photographers, and administrative staff are not responsible for the loss, theft, or damage of personal belongings, valuables, or property during on-site work, except where liability cannot be excluded under applicable law.
The real estate agent, homeowner, or authorized representative is responsible for securing personal belongings and valuables before the scheduled session and providing safe access to the property.
Delivery dates are estimates unless a specific deadline has been expressly agreed upon in writing. Property Photography GTA is not responsible for delays caused by circumstances beyond its reasonable control, including severe weather, natural disasters, government restrictions, technical failures, or other unforeseen events.
Where such circumstances affect delivery, the delivery timeline may be reasonably extended, and the Buyer will be informed where practicable.
Copyright and ownership of the photographs, videos, and other creative deliverables remain with Property Photography GTA unless otherwise agreed in writing.
The Buyer receives the applicable usage license once the required payment has been received in full, unless otherwise agreed in writing. Nothing in this section transfers copyright ownership to the Buyer.
Quoted prices exclude applicable taxes unless otherwise specified. The Buyer is responsible for applicable federal, provincial, and local taxes, including HST where required by law, unless a valid exemption applies.
For custom marketing strategies or other services requiring a proposal, the Buyer must approve the applicable proposal or scope of work before work begins.
The Buyer is responsible for reviewing the agreed scope and providing accurate information, access, and instructions required to perform the services. The Buyer is also responsible for decisions and actions taken when implementing any marketing strategies or recommendations provided by Property Photography GTA.
The Buyer may request changes to an order in writing. Changes to the quantity, scope, specifications, or quality of the agreed services are subject to written acceptance by Property Photography GTA.
Additional work or changes that increase the time or resources required may result in additional charges. Any additional charges will be communicated to the Buyer for approval before the additional work proceeds.
10.1 Revisions – Each photo or video project includes one (1) complimentary revision after the initial delivery. Additional revisions requested by the Buyer may incur additional charges, which will be quoted and agreed upon before further work begins.
10.2 Refunds – Due to the subjective nature of creative work, refunds are not offered solely because a Buyer dislikes the creative style, design choices, or artistic direction after a project has been delivered. Property Photography GTA will make reasonable efforts to address feedback during the included revision process.
This policy does not limit any rights or remedies available to the Buyer under applicable law.
The Buyer may request cancellation of an order in writing before the services are completed. The Buyer may be responsible for work already performed, non-recoverable expenses incurred, and any applicable cancellation fees disclosed before booking, subject to applicable law.
Property Photography GTA may suspend or terminate services where reasonably necessary, including in cases of non-payment, material breach of these terms, unsafe working conditions, or circumstances that prevent the services from being performed.
Where an order is terminated due to a material breach by either party, the parties retain any rights and remedies available under applicable law.
Where Property Photography GTA has reasonable grounds to believe that payment may not be made when due, it may request advance payment or other reasonable payment assurances before commencing or continuing services.
Failure to provide agreed payment assurances may result in a suspension or cancellation of services, subject to applicable law and any existing contractual obligations.
Property Photography GTA will use reasonable care and skill when providing its services.
Except as expressly agreed in writing or as required by applicable law, Property Photography GTA does not guarantee specific marketing, advertising, engagement, or sales results from its services.
To the fullest extent permitted by applicable law, Property Photography GTA will not be liable for indirect, incidental, special, or consequential losses arising from the use of its services. Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.
The Buyer is responsible for ensuring that any designs, materials, images, logos, trademarks, or other content supplied to Property Photography GTA may lawfully be used for the intended purpose.
The Buyer agrees to notify Property Photography GTA of any applicable usage restrictions or third-party rights associated with supplied materials.
All tools, templates, production methods, concepts, and intellectual property developed independently by Property Photography GTA or used in delivering its services remain the property of Property Photography GTA unless otherwise agreed in writing.
No intellectual property rights are transferred to the Buyer except for the specific usage rights expressly granted in writing.
Where permitted by applicable law, Property Photography GTA may seek recovery of reasonable, documented costs incurred in collecting overdue payments or enforcing these terms, subject to any applicable court rules and legal requirements.
Property Photography GTA is not responsible for delays or failure to perform obligations caused by events beyond its reasonable control, including natural disasters, severe weather, government restrictions, power outages, significant technical failures, or other unforeseen circumstances.
Where such circumstances arise, the affected obligations may be reasonably delayed or suspended for the duration of the event. Property Photography GTA will communicate material impacts on scheduled services where practicable.
All equipment, tools, designs, concepts, templates, workflows, and intellectual property owned or developed by Property Photography GTA remain its exclusive property unless otherwise agreed in writing.
The Buyer may not reproduce, distribute, sell, or commercially exploit these materials without prior written permission.
